Company Law of the SRX Logistics (2024 Revision)
Article 1: This Law is enacted according to the Constitution for the purposes of regulating the organization and operation of companies, protecting the legitimate rights and interests of companies, shareholders, employees, and creditors, improving the modern enterprise system with Chinese characteristics, promoting the entrepreneurial spirit, maintaining the socialist economic order, and promoting the development of the socialist market economy.
Article 2:The term "company" as mentioned in this Law refers to a limited liability company or a joint stock company limited set up within the territory of the People's Republic of China according to the provisions of this Law.
Article 3: SRX company is an enterprise legal person, which has independent legal person property and enjoys the right to legal person property. It shall bear the liabilities for its debts with all its property.
The legitimate rights and interests of a company shall be protected by laws and may not be trespassed.
Article 4: “Where any entity offers bribes to seek any illicit benefit or offers any kickback or commission to any employee of the state in violation of the provisions issued by the state, if the circumstances are serious, the entity shall be sentenced to a fine and its directly liable executive in charge and other directly liable persons shall each be sentenced to imprisonment of not more than three years or limited incarceration and a fine; or if the circumstances are especially serious, shall each be sentenced to imprisonment of not less than three years nor more than ten years and a fine. Any person who takes possession of the illegal income obtained from bribery shall be convicted and punished in accordance with the provisions of this Law.”
Article 5: “Where any director, supervisor, or officer of any other company or enterprise commits any conduct set forth in the preceding paragraph in violation of any law or administrative regulation, causing any significant loss to the interests of the company or enterprise, he or she shall be punished in accordance with the provision of the preceding paragraph.”
Article 6: One paragraph is added in Article 166 of the Criminal Law as paragraph 2 and this article is amended to read: “Where any employee of a state-owned company, enterprise, or public institution falls under any of the following circumstances by taking advantage of his or her position, the employee shall be sentenced to imprisonment of not more than three years or limited incarceration and a fine or be sentenced to a fine only if any significant loss has been caused to the national interest; or be sentenced to imprisonment of not less than three years nor more than seven years and a fine if any especially significant loss has been caused to the national interest.
